Terms of Service

01. Acceptance of Terms & Eligibility

Welcome to TeachCard. These Terms of Service (“Terms”) constitute a legally binding agreement between Ortyco Pty Ltd (ABN 54 699 528 277), trading as TeachCard (“Ortyco,” “Company,” “we,” “our,” or “us”), and any individual or entity (“User,” “Instructor,” or “you”) accessing or using our websites, software, mobile interfaces, and digital portfolio services at getteachcard.com, teachcard.me, or associated subdomains (collectively, the “Service”).

By accessing, browsing, registering for an account, or publishing a TeachCard, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue all use of the Service. You represent and warrant that you are at least 18 years of age (or have reached the legal age of majority in your jurisdiction) and possess full legal capacity to enter into this contract.

02. Nature of Service: Portfolio & Presentation Software Only

GetTeachCard is strictly a software-as-a-service (SaaS) presentation tool and digital portfolio builder. We provide educators, tutors, and academic mentors (“Instructors”) with technology to create video-first public digital profile cards (“TeachCards”), showcase introductory reels, display subject competencies, host verified proof galleries, and share their contact channels.

03. Accounts, Authentication & Security

To create and publish a TeachCard, you must register for an account using a valid email address and authenticate via our secure magic link or single sign-on mechanism. You agree to:

• Provide true, accurate, current, and complete information regarding your identity and background.
• Maintain the security of your authentication tokens, email inbox, and device access.
• Assume sole responsibility for all actions, updates, media uploads, and communications made under your account.
• Notify us immediately at support@getteachcard.com of any suspected security breach or unauthorized access.

04. Subscriptions, Studio Passes & Strict No-Refund Policy

GetTeachCard offers free tiers as well as premium paid access tiers (“Studio Passes,” such as the 3-Month Term Pass and Full School Year (3 Terms) Pass) that unlock elevated studio features, including high-definition video hosting and global edge streaming bandwidth, custom vanity URLs, enhanced badge display, and prioritized portfolio tools.

• Billing & Payment Processing: All Studio Pass purchases and subscription fees are processed securely via our third-party payment partner, Stripe. Charges are billed in United States Dollars (USD). Any approximate local currency equivalencies shown (such as Nigerian Naira - NGN) are purely for user convenience and reference; your final bank statement charge will reflect current payment gateway conversion rates, bank card fees, and applicable statutory taxes. We support valid international cards and approved virtual debit cards.
• No Direct Payouts / No Student Escrow: We do NOT operate Stripe Connect accounts for tutor payouts, nor do we process, collect, or hold student tuition payments on your behalf. All fees paid to GetTeachCard are solely for platform software access and hosting infrastructure.
• Strict No-Refund Policy: Because activation of a Studio Pass immediately provisions non-recoverable digital cloud infrastructure (including instantaneous video transcoding pipelines, dedicated edge CDN bandwidth allocation, vanity URL reservation, and verified badge indexing), all sales, Studio Pass purchases, and recurring subscription charges are strictly final and non-refundable once activated, to the fullest extent permitted by applicable law. No prorated refunds, chargeback reimbursements, or credits will be issued for partial term usage, voluntary account downgrades, or early cancellations.

05. Lead Generation & Offline Student Transactions (WhatsApp Inquiries)

TeachCards include interactive contact links and an integrated WhatsApp inquiry inbox allowing prospective students and parents (“Clients”) to reach out to Instructors directly:

• Independent Offline Engagements: GetTeachCard is purely a showcase and lead-routing tool. All tutoring engagements, trial sessions, hourly lesson rates, scheduling arrangements, curricula, and fee payments take place strictly and directly between the Instructor and the Client offline (e.g., via WhatsApp, direct phone, bank wire, or independent payment systems).
• Zero Platform Liability for Offline Transactions: GetTeachCard is not a party to, nor an agent or guarantor of, any instructional agreement or transaction. We assume zero liability for:
  • Client non-payment, delayed payment, or fee disputes;
  • Instructor cancellations, scheduling conflicts, or missed lessons;
  • The quality, pedagogical standard, accuracy, or suitability of tutoring provided;
  • Academic results, test scores, exam marks, or educational admissions outcomes;
  • Any physical, financial, or personal safety disputes arising from offline meetings or communications.

06. Reviews & Proof Gallery: Student Privacy, Examination Slips & PII Redaction

Eligible Instructors may upload academic verification credentials, past student results, and testimonials into their “Reviews & Proof Gallery,” which may include official examination outcome slips (such as WAEC, NECO, JAMB, Cambridge/IGCSE, SAT) and screenshots of WhatsApp chat reviews. By uploading any such materials, you agree to strict compliance with the following:

Zero-Tolerance Policy: We reserve the right to immediately and permanently suspend, ban, or delete any Instructor account found uploading forged, fraudulent, deceptive, or unauthorized student records, or exposing unprotected sensitive minor data, without prior notice and without refund. You agree to fully indemnify GetTeachCard against any regulatory sanctions or third-party claims arising from your breach of student data privacy.

07. Badges, Community Affiliations & “Pro Educator” Disclaimer

The platform displays visual indicators, subject badges, and status labels such as “Pro Educator,” “Identity Verified,” or specialized subject tags. “Pro Educator” identifies an active paid Studio Pass. “Identity Verified” means a third-party identity provider approved an identity document or government identity record check and a live biometric selfie match at the time shown.

Identity Verification Conditions: Identity verification is available only to eligible active Pro Instructors, is voluntary, may require retries or human review, and may be suspended or removed where fraud, account transfer, expiration, or conflicting information is detected. Payment for Pro does not guarantee approval or automatically award an Identity Verified badge.

Community Affiliation Badges: An organisation's name, logo, or community badge on a TeachCard shows a community affiliation only. In particular, the School of Mathematics Nigeria (SomNg) badge indicates an affiliation with the SomNg community. It does not mean SomNg has certified the Instructor, checked their qualifications, or formally endorsed their teaching, services, or conduct. Community affiliation is separate from TeachCard identity verification. Instructors remain responsible for their own services and must not use an affiliation badge to claim certification or endorsement by the organisation.

Disclaimer of Formal Accreditation: Badges and accolades do not constitute government accreditation, teaching licensure, qualification checking, criminal-background clearance, a guarantee of identity after the verification date, or an endorsement of an Instructor's quality or conduct. Clients and students must exercise independent judgment when vetting and hiring Instructors.

08. Instructor Content & Intellectual Property Rights

Instructors retain full ownership of the original text, intro videos, photos, logos, and materials submitted to their TeachCard (“Instructor Content”).

By uploading or embedding Instructor Content, you grant GetTeachCard a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable license to host, transcode, compress, store, cache, stream, publicly display, and distribute such content solely for the technical operation, delivery, and promotion of your TeachCard, the Service, and related marketing or advertising campaigns. This includes the right to feature your public profile on our social media, website, and promotional materials.

Uploaded images and sampled frames from intro videos may be automatically screened by our media-safety provider after upload. Suspicious media may temporarily move the associated profile into a private staff review queue. We may approve the media or reject and remove it with an explanation to the Instructor when a human review identifies material that is unsafe or inconsistent with these Terms.

All software, source code, visual interfaces, graphics, brand design, logos, trademarks, and documentation provided by GetTeachCard remain the sole and exclusive intellectual property of GetTeachCard and our licensors.

09. Prohibited Conduct & Academic Integrity

You agree not to use GetTeachCard to:

• Fabricate, falsify, or forge exam certificates, diplomas, grades, or testimonials;
• Offer or facilitate academic dishonesty, including ghostwriting, proxy test-taking, or selling active examination materials;
• Upload defamatory, obscene, pornographic, violent, hateful, or unlawful media;
• Violate the privacy or data protection rights of any student, parent, or third party;
• Harass, stalk, defraud, or impersonate any individual or educational institution;
• Attempt to scrape, reverse engineer, decompile, crawl, or disrupt our infrastructure or security systems;
• Transmit malware, viruses, or unsolicited spam messages.

10. Third-Party Services & Integrations

Our Service may integrate with third-party software, including Stripe (payment infrastructure), Smile ID (optional identity and biometric verification), Cal.com (scheduling embeds), WhatsApp (inquiry routing), and cloud video streaming CDNs. Your interaction with third-party tools is governed strictly by their respective terms of service and privacy policies. GetTeachCard assumes no responsibility or liability for third-party service availability, downtime, or policy changes.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GETTEACHCARD DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, BUG-FREE, OR THAT INSTRUCTORS WILL RECEIVE CLIENT INQUIRIES OR REVENUE.

12. Limitation of Liability & Liability Cap

UNDER NO CIRCUMSTANCES SHALL GETTEACHCARD, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF STUDENTS, REPUTATIONAL DAMAGE, LOSS OF DATA, OR WORK STOPPAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, OFFLINE TUTORING SESSIONS, OR TRANSACTIONS WITH THIRD PARTIES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) FIFTY UNITED STATES DOLLARS ($50.00 USD), OR (B) THE TOTAL FEES ACTUALLY PAID BY YOU TO GETTEACHCARD FOR ACCESS TO THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless GetTeachCard, its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Service; (b) your Instructor Content, including any uploaded exam results, student reviews, or media; (c) any violation of student data privacy or failure to redact sensitive PII; (d) your breach of these Terms; or (e) your offline relationships, communications, or tutoring contracts with students or parents.

14. Termination & Account Suspension

You may terminate your account at any time by contacting our support team or deleting your profile via the instructor studio dashboard. GetTeachCard reserves the unilateral right to suspend, restrict, or terminate your access to the Service at any time, with or without cause, and without liability or advance notice, including for violations of these Terms, suspicion of fraudulent credentials, or student privacy non-compliance. Upon termination, all licenses granted to you terminate immediately, and any fees paid remain non-refundable.

15. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of law principles. You and Ortyco Pty Ltd agree to submit to the non-exclusive jurisdiction of the courts of Queensland, Australia, and agree to first attempt in good faith to resolve any claim or controversy through informal negotiation for a period of at least thirty (30) days before initiating formal legal proceedings.

16. Modifications to Terms

We reserve the right to revise or update these Terms at our sole discretion. When significant updates occur, we will update the “Last Updated” date at the top of this page and, where practicable, provide notice via email or platform banner. Continued use of the Service following the posting of revised Terms constitutes your full acceptance of such modifications.
